BUSINESS PULSE ASSESSMENT — ENGAGEMENT TERMS

Please read these terms before completing your payment. By submitting payment, you acknowledge that you have read, understood, and agreed to the terms below.
1. What This Engagement Covers
Chat Tech Solutions will perform a one-time Business Pulse Assessment of your organization's current technology environment. The Assessment consists of a structured review across three areas: security posture, operational systems, and technology alignment. Upon completion, you will receive a written findings report (the "Report") summarizing identified gaps, risks, and recommendations.
The Assessment is an advisory engagement only. It does not include the implementation of any recommendations, remediation of identified issues, or any form of ongoing technical support.
2. What Is Not Included
The following are expressly outside the scope of this engagement:
Fixing, repairing, or remediating any issue identified in the Report
Installing, configuring, or modifying any software, hardware, or system
Providing technical support of any kind during or after the Assessment
Any ongoing managed services, monitoring, or help desk access
If you are interested in addressing the findings in the Report, Chat Tech Solutions offers managed services plans that can be discussed separately.
3. Fee and Payment
The fee for the Assessment is $495.00, due in full at the time of booking. The Assessment will not be scheduled or commenced until payment has been received and confirmed.
4. Non-Refundable Policy
The $495.00 fee is non-refundable once the Assessment has commenced. For purposes of this agreement, the Assessment commences upon Chat Tech Solutions' first active review of your systems or environment following payment confirmation.
If Chat Tech Solutions is unable to perform the Assessment due to reasons within its control, a full refund will be issued.
5. Managed Services Credit
If you enter into a signed managed services agreement with Chat Tech Solutions within 30 days of the date your Report is delivered, the $495.00 Assessment fee will be applied as a credit toward your first invoice under that agreement.
The credit applies to new managed services agreements only. It has no cash value, is non-transferable, and may not be applied to project work, add-ons, or any engagement other than a new managed services plan.
6. Confidentiality
Chat Tech Solutions will treat all information shared during the Assessment as confidential. We will not disclose your information to third parties except as required to perform the Assessment or as required by law. The Report is prepared solely for your internal use and may not be shared with third parties without Chat Tech Solutions' written consent.
7. Limitation of Liability
The Report reflects the findings of Chat Tech Solutions based on the information available and the scope of the Assessment as described herein. It does not constitute a guarantee, warranty, or certification of your technology environment.
Chat Tech Solutions' total liability arising from this engagement shall not exceed the amount paid for the Assessment ($495.00). Chat Tech Solutions is not liable for any indirect, consequential, or incidental damages arising from the findings or recommendations in the Report.
8. No Ongoing Relationship
This agreement governs a single, defined engagement. It does not create an ongoing service relationship, a managed services contract, or any obligation by either party beyond the delivery of the Report. Any future engagement between the parties will be governed by a separate written agreement.
9. Governing Law
This agreement is governed by the laws of the State of Illinois. Any disputes arising under this agreement shall be resolved in the courts of Illinois.
10. Agreement
By submitting payment, you confirm that you are authorized to enter into this agreement on behalf of your organization and that you agree to the terms above.
